DaimlerChrysler AG (Germany)

DaimlerChrysler AG is a stock corporation organised under the laws of the Federal Republic of Germany (Commercial Register in Stuttgart, Abt. B No. 19360; VAT registration number: DE 81 25 26 315). It was incorporated in Germany on May 6, 1998 in the course of the business combination of Daimler-Benz Aktiengesellschaft and Chrysler Corporation. Its registered office is at Epplestrasse 225, 70567 Stuttgart, Germany. DaimlerChrysler AG is the ultimate parent company of the DaimlerChrysler Group. As of December 31, 2002, DaimlerChrysler AG had 1,012,803,493 ordinary shares outstandingand approximately 1.8 million stockholders. Its ordinary shares are traded on various stock exchanges throughout the world, including the Frankfurt Stock Exchange and the New York Stock Exchange.

The DaimlerChrysler Group is primarily engaged in the development, manufacture, distribution and sale of a wide range of automotive products, mainly passenger cars and commercial vehicles. It also provides financial and other services relating to the automotive business.

In October 2000, DaimlerChrysler acquired a 34% equity interest in Mitsubishi Motors Corporation. In June 2001, AB Volvo sold its 3.3% interest in Mitsubishi Motors Corporation and its rights in several operational contracts with Mitsubishi Motors Corporation, including all rights resulting from Volvo’s co-operation with Mitsubishi Fuso Truck & Bus Company, to DaimlerChrysler. As a result, DaimlerChrysler’s equity interest in Mitsubishi Motors Corporation increased to 37.3% (now 37.1%).

In 2002, Group revenues declined 2% from EUR 152.9 billion in 2001 to EUR 149.6 billion in 2002. Research and development funded by DaimlerChrysler AG amounted to EUR 6.1 billion in 2002 compared to EUR 5.9 billion in 2001. Net income was EUR 4.7 billion in 2002 compared to a net loss of EUR 0.7 billion in 2001. At December 31, 2002, DaimlerChrysler employed a workforce of 365,571 people worldwide.

The DaimlerChrysler Group has five business segments: Mercedes Car Group, Chrysler Group, Commercial Vehicles, Services, and Other Activities.

Mercedes Car Group
The Mercedes Car Group is responsible for the design, production and sale of Mercedes-Benz passenger cars, Maybach high-end luxury sedans and smart micro compact passenger cars. Mercedes-Benz passenger cars are world renowned for their innovative technology, highest levels of comfort, quality and safety, and pioneering design. The Maybach sedans are high-end luxury sedans which combine precision craftsmanship and cutting edge-technology. smart is a micro compact car brand that represents a trend-setting response to the challenges of urban mobility and optimum use of resources. The smart cdi, a diesel version of the smart, achieved a fuel efficiency performance of 3.4 liters per 100 km in New European Driving Cycle (NEDC) tests.

Group The Chrysler Group segment consists of DaimlerChrysler Motors Company LLC and its subsidiaries DaimlerChrysler Corporation, DaimlerChrysler Canada Inc., and DaimlerChrysler de Mexico S.A. de C.V., as well as other international automotive affiliates. These companies manufacture, assemble and sell cars and trucks under the brand names Chrysler, Jeep? and Dodge.

Commercial Vehicles
DaimlerChrysler manufactures and sells commercial vehicles under the brand names Mercedes-Benz, Freightliner, Sterling, Setra, Thomas Built Buses, American La France, Western Star and Orion. The worldwide facilities provide DaimlerChrysler with a very strong production and assembly network for commercial vehicles and core components. DaimlerChrysler also has a worldwide distribution and service network for commercial vehicles.

Services
DaimlerChrysler's services activities consist almost exclusively of financial services supporting DaimlerChrysler's automotive businesses. DaimlerChrysler provides these services through its wholly-owned subsidiary, DaimlerChrysler Services AG.

Other Activities
This segment includes the MTU Aero Engines business unit, holdings in European Aeronautic and Defence and Space Company N.V. (EADS) and Mitsubishi Motors Corporation, real estate and corporate research activities, holding companies, and financing subsidiaries through which DaimlerChrysler refinances the capital needs of its operating businesses in the capital markets.

The Powersystem business unit will participate in the project. It will be the co-ordinating-contractor, and therefore also be responsible for the project management. DaimlerChrysler will be involved in all workpackages by giving significant contributions to all scientific and technological aspects. It will deliver the different vehicle bases (HGV and sPVC) and bring in the expertises in full powertrain development, vehicle testing and validation.
